Company’s stated rationale for the name change
The Explanatory Statement under Section 102 (Item No. 1) explains that, following the demerger of Lifestyle and Real Estate businesses into Raymond Lifestyle Limited and Raymond Realty Limited, respectively, Raymond Limited has transitioned into a dedicated platform focused on Automotive & Precision Engineering and Aerospace & Defence.
It states that the standalone name “Raymond” is historically associated with textiles and apparel and “no longer reflects the Company’s post-restructuring business reality and operational focus.” The proposed name “Raymond Aerospace, Defence & Engineering Limited” is described as aligning the company’s corporate identity with its “current economic substance and long-term strategy.”
Annexure A, a note from Group CFO Rakesh Tiwary, further elaborates that the change “is not a cosmetic rebranding exercise” but “one of the steps in completion of Raymond’s transformation from its historical identity into a focused engineering, aerospace and defence platform.”
The Explanatory Statement also notes that:
- the company has received a name availability letter dated October 22, 2026 from the Registrar of Companies, Central Registration Centre, confirming availability and reservation of the proposed name; and
- there is no proposal to change the objects of the Company pursuant to the change in name, and the change would not affect the legal status, constitution, turnover, operations, activities, or existing rights and obligations of the company and its stakeholders.
The Board has recommended the Special Resolution for shareholder approval via postal ballot and remote e-voting only.
