Ratnaveer Precision Engineering Ltd was last traded at Rs 292, up 4.5% in Thursday’s session, after the company filed its detailed Letter of Offer for a sizeable rights issue. The move suggests investors are focusing less on near-term dilution and more on the clarity of Ratnaveer’s growth and funding roadmap.

What Ratnaveer is Raising and on What Terms

According to the Letter of Offer dated August 26, 2026 (see pages 1–2 and 55–56):

  • The company plans to issue up to 1,24,99,669 fully paid-up equity shares.
  • Face value: Re 10.00 per share.
  • Issue price: Rs 264 per equity share (including Rs 254 share premium).
  • Total issue size: Rs 329.99 crore (page 2 and 55).
  • Rights ratio: 7 Rights Equity Shares for every 40 fully paid-up Equity Shares held on the record date August 26, 2026 (pages 2 and 55).
  • The issue price is 26.4 times the face value (page 2).

The rights equity shares will be listed on both BSE and NSE; in-principle approvals were received on July 16, 2026 (page 2 and 104).

Why the Market is Reacting: Use of Proceeds and Growth Visibility

The core of the market’s response lies in how Ratnaveer plans to deploy this capital. On page 62 and 63, the company clearly breaks down the Net Proceeds of Rs 327.99 crore (after estimated issue expenses of Rs 2.00 crore):

  • Incremental working capital requirements: Rs 255.00 crore
  • General corporate purposes: Rs 72.99 crore (capped at not more than 25% of gross proceeds)

The deployment schedule (page 62) is also explicit:

  • FY 2026–27: Rs 191.99 crore
  • FY 2027–28: Rs 136.00 crore

This level of detail gives investors a line of sight on how the balance sheet will be strengthened and how growth will be funded over the next two years.

Working Capital-Heavy Model Gets Balance Sheet Support

Ratnaveer’s own risk-factor section (pages 34–35) acknowledges that the business is working-capital intensive and runs on a high-volume, low-margin model:

  • Working capital utilisation was Rs 2,444.87 million for the one month ended April 30, 2026 and Rs 2,211.07 million, Rs 2,958.42 million and Rs 2,820.64 million in FY 2026, FY 2025 and FY 2024 respectively (page 34–35).
  • The company notes that sudden changes in pricing or operational anomalies can “substantially affect our net bottom lines” (page 29).

Against that backdrop, earmarking Rs 255 crore purely for incremental working capital (page 62) directly addresses a structural constraint. It reduces dependence on short-term bank lines and gives Ratnaveer more flexibility to manage inventory and receivables in a volatile stainless-steel cycle.

The Letter of Offer also discloses total outstanding borrowings of Rs 3,349.77 million as of April 30, 2026 (page 43), and a pre-issue debt-to-equity ratio of 0.50:1 as of March 31, 2026 (page 103). Post-issue, assuming full subscription, that ratio is projected to improve to 0.33:1 (page 103). The prospect of a deleveraged balance sheet, funded via equity rather than more debt, is another likely support for the stock.

Funding the New CCL Project and Capacity Ramp-Up

Beyond pure working capital, the Letter of Offer (pages 64–65 and 83) details a key growth initiative: a new Copper Clad Laminates (CCL) project.

Key disclosed points:

  • Planned installed capacity: approximately 80,00,000 sheets annually at Alindra, Savli, Vadodara, Gujarat (pages 64–65, 83).
  • The project will be executed in two phases:
    • First phase: 16,00,000 sheets annually, targeted to commence in November 2026 (pages 64–65, 83).
    • Second phase: additional 64,00,000 sheets annually after successful completion of phase one (pages 64–65, 83).
  • End markets: electronics, telecommunications, defence and automotive sectors (page 83).

While the CCL capex itself is not line-itemed under the rights-issue objects (which are strictly working capital and general corporate purposes), the company explicitly states that this project has “played a significant role in forming the assumptions for our working capital requirements” (page 64). In other words, the rights money is a key enabler of the CCL scale-up and the broader capacity plan.

The industry section (pages 72–78) also underlines strong medium-term demand in stainless products and related applications, which supports the logic of building out capacity now.

Financial Trajectory: Growth Already Visible

The financial information summary (page 102) shows Ratnaveer has been growing into this capital raise, not shrinking into it:

  • Revenue from operations:
    • FY 2024: Rs 5,953.79 million
    • FY 2025: Rs 8,918.78 million
    • FY 2026: Rs 10,687.36 million
  • Profit before tax:
    • FY 2024: Rs 390.93 million
    • FY 2025: Rs 606.53 million
    • FY 2026: Rs 759.79 million
  • Net profit after tax:
    • FY 2024: Rs 310.50 million
    • FY 2025: Rs 468.15 million
    • FY 2026: Rs 643.05 million

Earnings per share (basic) rose from Rs 7.61 in FY 2024 to Rs 9.31 in FY 2025 and Rs 11.11 in FY 2026 (page 102). Return on net worth was 12.32%, 12.62% and 9.61% in FY 2024, FY 2025 and FY 2026 respectively (page 102).

The Letter of Offer also includes a peer comparison (pages 83–84) showing Ratnaveer’s revenue from operations growing at a 36.4% CAGR between FY 2023–25, faster than the sample stainless and fastener peers cited.

The rights issue therefore comes against a backdrop of strong top-line and profit growth, which helps explain why the market is willing to look through dilution.

Dilution and Promoter Participation: What the Filing Actually Says

The capital-structure section (pages 59–60) makes two important points:

  • Pre-issue paid-up equity: 7,14,26,681 shares of face value Re 10.00 each.
  • Post-issue (assuming full subscription): 8,39,26,350 shares (page 59).

That implies meaningful equity dilution for existing shareholders who do not or cannot subscribe.

Crucially, the company states (pages 60–61):

“We confirm that the promoter and promoter group will not subscribe to this Rights issue.”

And further:

“Our Company does not intend to allot the under-subscribed portion of the Rights Equity Shares in this Issue to any Specific Investor(s).”

This means there is no backstop from promoters or a pre-identified investor; the issue must stand on its own merits with the broader shareholder base. The stock’s positive reaction suggests investors are comfortable that the combination of growth, balance-sheet strengthening and visibility on use of funds offsets the dilution risk.

Why the Stock Likely Moved 4.5%

With no conflicting market commentary available, the most plausible explanation for Ratnaveer’s 4.5% move to Rs 292 is the content of the Letter of Offer itself:

  • Clear, quantified use of proceeds – Rs 255 crore into working capital and Rs 72.99 crore into general corporate purposes (pages 62–63) directly address the company’s own identified constraints.
  • Support for a visible growth pipeline, including the new CCL project and ongoing capacity expansion (pages 64–65, 83).
  • Improving leverage metrics – a projected drop in debt-to-equity from 0.50:1 to 0.33:1 post-issue (page 103) reduces financial risk.
  • Strong recent financial performance, with revenue and PAT compounding sharply over FY 2024–26 (page 102), makes it easier for investors to underwrite future returns on the fresh equity.

At the same time, the filing is explicit about risks: high working-capital needs, margin sensitivity, customer and supplier concentration, and the fact that promoters are not subscribing (pages 23–35, 60–61). The positive price action therefore appears to reflect a considered market view that the growth and balance-sheet benefits of the rights issue outweigh these concerns at the current valuation.

As always, participation in the rights issue is optional, and investors need to weigh the potential upside from funded growth against the certainty of dilution if they do not subscribe.
