Eligibility and record date

According to item 6 of the board's outcome letter, the Company has fixed Friday, 4th September 2026 as the record date for determining entitlement and the names of the equity shareholders who shall be eligible to participate in the buyback.

In practical terms, shareholders whose names appear as equity shareholders/beneficial owners in the Company’s records as on this record date will be eligible to tender their shares in the buyback, subject to the detailed terms in the letter of offer.

The company has also stated that, pursuant to Regulation 5(via) of the SEBI Buyback Regulations, the Board/Buyback Committee may, 1 (one) working day prior to the Record Date, increase the Buyback Price and decrease the number of equity shares proposed to be bought back, such that there is no change in the Buyback Size (item 2 of the board's outcome letter).
