The filing landed after market hours on 21 September 2026, and the bulk of the move appears to have followed the updated disclosure.

What the corrigendum changes — and what stays the same

According to the corrigendum dated 21 September 2026 (pages 1–4), Gujarat Themis Biosyn has reworked the floor price calculation and aligned its preferential issue proposal with SEBI ICDR norms, but kept the overall fundraising plan intact.

Key updated terms from the filing:

  • The company now proposes to issue "up to 82,92,081 equity shares" of face value Rs 1 each (page 2).
  • The shares will be issued "at a price of Rs. 404 per equity share (the Issue Price), aggregating up to Rs. 335,00,00,724/-" (page 2).
  • The corrigendum states that "Wherever the number of total Equity Shares and amounts appears in the Resolution, explanatory statement and disclosures, shall be read as 82,92,081 and Rs. 335,00,00,724 respectively and issue price as Rs. 404 per share" (page 4).

In other words, the quantum of capital to be raised — Rs 335,00,00,724 — is unchanged, but the exact number of shares and the pricing mechanics have been corrected to match the SEBI ICDR formula.

Why the market focused on the Rs 404 issue price

The live market commentary around the stock points to the preferential issue pricing as the main trigger for the 3.8% slide. The issue price of Rs 404 per share, as disclosed in the corrigendum, is close to but below where the stock had been trading recently, and investors appear to be treating it as a discounted equity raise that dilutes existing holdings.

  • Pending full use, proceeds may be invested "in deposits in scheduled commercial banks, securities issued by government of India and/or creditworthy instruments as permitted under applicable laws / guidelines."

Investors already knew from earlier disclosures that the Japan acquisition was being funded partly via high-coupon NCDs; this corrigendum effectively confirms that a large chunk of the preferential issue will go towards redeeming those NCDs or repaying related borrowings, and only Rs 25,00,00,000 is earmarked for general corporate purposes.
